Hermes Business Integration End-User License Agreement

Last updated: September 26, 2026

1. Application and permitted users

This End-User License Agreement ("Agreement") governs authorized use of Hermes Business Integration ("Hermes" or the "Application"), operated by Bishop Machine ("Bishop"). The Application supports internal Bishop intranet workflows, including customer onboarding and authorized connections to business systems such as QuickBooks and Fulcrum.

The Application is for Bishop-authorized employees, contractors, and other expressly authorized business users. It is not offered as an unrestricted public service. An invitation, company account, or technical ability to open a screen does not grant privileges beyond those assigned to you. If you do not agree to these terms, do not use the Application and contact Bishop's administrator.

2. Limited permission to use

Bishop grants you a limited, nonexclusive, nontransferable permission to use the Application for Bishop-authorized business purposes while your access remains approved. No ownership of the Application or its software is transferred. Bishop and its licensors retain their respective rights; third-party software and services remain subject to their own licenses and terms.

These terms do not change ownership of customer documents, company records, or other submitted information. You authorize Bishop to process information you submit as necessary for the permitted workflow, as described in the Hermes Privacy Policy, and subject to applicable law and Bishop's obligations concerning that information.

3. Account security and acceptable use

Use your assigned access and protect your credentials. Do not share accounts, bypass permission checks, impersonate another user, or connect a company you are not authorized to represent. Promptly report suspected account compromise or incorrect access to Bishop's administrator.

Do not use the Application to submit unlawful or knowingly misleading information, access unrelated records, interfere with systems, introduce malicious files, or disclose information without authority. Do not upload passwords, payment-card information, unrelated personal records, or export-controlled technical data to the customer-onboarding workflow. Restrictions apply only to the extent permitted by law.

4. Review and approval responsibilities

You are responsible for checking the source documents, company and contact names, addresses, duplicate matches, payment terms, tax selections, and destination records before approving a submission. Uploading a document, reading text, or saving a draft is not the same as creating a record in a connected system. Follow the status shown for the specific action and verify the resulting records.

The Application may suggest information or customer defaults. Suggestions do not constitute accounting, tax, legal, credit, engineering, or professional advice. A W-9, exemption certificate, address, or checkbox does not by itself establish a valid exemption for a transaction. Obtain appropriate review when the information or applicable treatment is uncertain.

Do not repeatedly resubmit after an uncertain result or partial failure. Contact an administrator to check whether a record was created before retrying, to avoid duplicates. Synthetic test data must be clearly identified and used only in an approved test environment, not as valid customer or tax documentation.

5. Connected services

QuickBooks access requires separate authorization from an authorized company administrator through Intuit. That consent determines the connection's permitted scope; it does not authorize every user to perform every operation. The Application's own permissions and available features also apply.

Creating or synchronizing a record may transfer reviewed information to a connected service and change that service's records. Perform those actions only with the appropriate business authority. Enabling an integration is not authorization to make payments, alter unrelated accounting records, or use a different company's data.

Intuit QuickBooks, Fulcrum, Google, hosting providers, and other third-party services are independent services governed by their applicable terms. Bishop does not promise their continuous availability or endorse an interpretation that overrides their requirements. Product names and trademarks belong to their respective owners. This Application is not Intuit software, and publication of this Agreement does not represent Intuit certification or endorsement.

6. Availability, changes, and development features

Features may be limited, disabled, changed, or unavailable during development, maintenance, security work, or third-party interruptions. Local test features are not necessarily available in the published intranet. A public policy page does not indicate that a connection is live or that a development workflow is approved for production.

Bishop may suspend or revoke access when authorization ends, misuse is suspected, or protection of systems or records requires it. An administrator may disconnect a third-party integration. Disconnection or suspension does not automatically delete existing business records or cancel separate obligations with another service.

7. No guarantee of error-free results

To the extent permitted by applicable law, the Application is provided on an "as available" basis without a guarantee of uninterrupted service, error-free output, or suitability for every business decision. Users must retain appropriate source records, follow review procedures, and verify important results. Nothing in this Agreement excludes obligations or rights that cannot lawfully be excluded, or overrides a separate written agreement that expressly governs the same subject.

8. Privacy, changes to terms, and questions

The Hermes Business Integration Privacy Policy explains the handling of information within the covered workflows. Applicable Bishop confidentiality, security, and records requirements also remain in effect. This Agreement does not replace employment terms, customer purchase terms, or other unrelated agreements.

Bishop may update these terms as the Application changes. The latest revision date appears above. Material changes will be communicated to affected users or administrators, and any acceptance required by law will be obtained before those changes apply.
